( 1 )The sales reported by Ms. Yow were effected pursuant to a Rule 10b5-1 trading plan adopted on June 1, 2012.

These shares were sold in multiple transactions at prices ranging from $15.00 to $15.03, inclusive. ( 3 )100% of the shares subject to the Option vested on May 1, 2010.
